Terms & Conditions
These Terms & Conditions ("Terms") govern your use of the Aircircle app ("Aircircle") provided by GarageSpace, Inc. ("we", "us", or "our"). By using Aircircle, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use Aircircle.
1. Description of Aircircle
Aircircle is a personal CRM that uses AI to manage context on and engage with a person's contacts.
2. License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use Aircircle for your personal, non-commercial use.
3. Restrictions
You agree not to use Aircircle for any commercial purposes, including but not limited to selling, licensing, or sublicensing Aircircle to third parties. You also agree not to reverse engineer, decompile, disassemble, or create derivative works based on Aircircle.
4. Modifications to Aircircle
We reserve the right, at our sole discretion, to modify, update, or discontinue Aircircle (in whole or in part) at any time without notice. We may also introduce new features or impose limits on certain features or restrict access to parts or all of Aircircle. You agree that we are not liable to you or any third party for any modification, update, or discontinuation of Aircircle.
5. Ownership
All intellectual property rights in Aircircle, including but not limited to copyrights, trademarks, and patents, are owned by GarageSpace, Inc. Your use of Aircircle does not grant you any ownership or license rights in Aircircle, except for the limited license granted in Section 2.
6. Disclaimer of Warranties
Aircircle is provided on an "as-is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Aircircle will be error-free, uninterrupted, or secure.
7. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall GarageSpace, Inc., its affiliates, directors, officers, employees, or agents be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of Aircircle, whether in an action for breach of contract, negligence, or any other theory of liability, even if we have been advised of the possibility of such damages.
8. Indemnification
You agree to indemnify, defend, and hold harmless GarageSpace, Inc., its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or in connection with your use of Aircircle or your breach of these Terms.
9. Governing Law & Jurisdiction
These Terms and any disputes arising out of or relating to Aircircle shall be governed by the laws of the State of Delaware, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes arising out of or relating to these Terms or Aircircle.
10. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect.
11. Waiver
No waiver of any provision of these Terms by us shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
12. Changes to the Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use Aircircle after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using Aircircle.
